SIBUR and TAIF Finalise Merger of Their Businesses with FBK Grant Thornton’s Assistance

Under the deal terms, TAIF shareholders receive a 15% interest in the combined company in exchange for 50% of shares +1 share in TAIF JSC. SIBUR’s financial obligations in the second phase of the deal will be secured by several issues of exchange-traded bonds. The merger will make use of SIBUR Holding’s facilities to create the biggest petrochemical company in Russia and one of the biggest ones in the world. FBK Grant Thornton’s tax lawyers and financial advisers successfully represented TAIF shareholders.

The combined company will be among the top five polyolefin and elastomer producers with the overall capacity of 8 million tonnes of polyolefins and 1.2 million tonnes of elastomers.
